Terms of Service

These terms form a binding agreement between you and Vardan Soft Pvt Ltd, a private limited company registered in Nepal with its office in Ramechhap, Nepal (“Vardan Soft”, “we”, “us”). By visiting our website, creating an account, or using any of our applications, you confirm that you accept these terms. If you do not agree with them, please do not use our services.

If you are accepting these terms on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation, and “you” refers to that organisation.

Vardan Soft builds and operates custom software. Our services include the informational website at vardansoft.com.np, client software development and consulting engagements, and the applications we operate directly — currently including bolnepage (bolnepage.com), an AI assistant that helps businesses respond to customer messages.

We also operate a centralized account and sign-in service so that a single Vardan Soft account works across all of our applications. Work carried out under a separate signed contract or statement of work is governed by that contract; these terms apply to everything else.

• You must be at least 16 years old to create an account.
• You may create an account by signing in with your Google Account. In doing so you authorise Google to share your name, email address, profile picture, and Google account identifier with us, as described in our Privacy Policy.
• You are responsible for the security of the Google Account you use to sign in and for all activity that occurs under your Vardan Soft account.
• You must give us accurate information and keep it up to date.
• You must tell us promptly at vardansoftpvtltd@gmail.com if you believe your account has been accessed without your authorisation.
• You may disconnect your Google Account from Vardan Soft at any time, and you may ask us to delete your account entirely.

When using our services, you agree not to:

• Break any applicable law or regulation, or infringe anyone's rights.
• Access, tamper with, or use non-public areas of our systems, or probe, scan, or test the vulnerability of our infrastructure without our prior written permission.
• Interfere with or disrupt the service, for example by overloading, flooding, or spamming it.
• Reverse engineer, decompile, or attempt to extract the source code of our software, except to the extent this restriction is prohibited by law.
• Use the service to send unsolicited bulk messages, malware, or deceptive content.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Resell, sublicense, or make the service available to third parties except as expressly permitted by us in writing.

We may suspend or terminate access that we reasonably believe breaches these rules or puts our service, our other users, or third parties at risk.

You keep ownership of the content and data you submit to our applications. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display that content strictly for the purpose of operating and supporting the service for you. This licence ends when you delete the content or your account, subject to the retention periods described in our Privacy Policy.

You are responsible for ensuring that you have the rights necessary to submit your content and that it does not break the law or infringe anyone else's rights.

The service, including our software, website, designs, text, graphics, and the Vardan Soft name and logo, is owned by Vardan Soft Pvt Ltd or our licensors and is protected by intellectual property law. We grant you a limited, revocable, non-transferable licence to use the service in accordance with these terms. We reserve all rights not expressly granted.

Our services rely on third parties, including Google for authentication and cloud infrastructure providers for hosting. Your use of Google services is governed by Google's own Terms of Service and Privacy Policy. We are not responsible for third-party services, and their availability is outside our control.

We work to keep our services available and reliable, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the service, and we may release new features or retire old ones. Where a change materially reduces functionality you rely on, we will give you reasonable advance notice by email or in the product, unless the change is required urgently for security or legal reasons.

Except where a warranty cannot be excluded by law, our services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, secure, or uninterrupted, or that any output generated by AI features will be accurate or suitable for your purposes. You remain responsible for reviewing AI-generated output before you rely on it.

To the maximum extent permitted by law, Vardan Soft Pvt Ltd and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or relating to your use of the service.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these terms or the service is limited to the greater of the amounts you paid us for the service in the twelve months before the event giving rise to the liability, or NPR 10,000. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.

You agree to indemnify and hold harmless Vardan Soft Pvt Ltd against claims, damages, losses, liabilities, and reasonable legal costs arising from your breach of these terms, your content, or your unlawful use of the service.

You may stop using the service and delete your account at any time — see our data deletion page for how. We may suspend or terminate your access if you materially breach these terms, if your use creates a security or legal risk, or if we are required to by law. On termination, the sections of these terms that by their nature should survive — including sections 5, 6, 9, 10, 11, and 13 — continue to apply.

These terms are governed by the laws of Nepal, without regard to conflict of law principles. The courts of Kathmandu, Nepal have exclusive jurisdiction over any dispute arising out of or relating to these terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property. Before starting formal proceedings, we ask that you contact us so we can try to resolve the matter directly.

We may update these terms from time to time. When we do, we revise the “last updated” date at the top of this page. If the changes are material, we will give you reasonable notice by email or through the product before they take effect. Continuing to use the service after the changes take effect means you accept the updated terms.
